Terms of Use

1.1. HyperRich is a platform designed to assist with the creation and trading of Digital Assets.

1.2. By using the HyperRich Platform you are entering into a legally binding agreement with us. These Terms will govern your use of the HyperRich Platform.

2.1. To be eligible to use the HyperRich Platform, you must:

• Be an individual or entity with full power and authority to use the platform
• Not be located in or a resident of any prohibited jurisdiction
• Meet any additional eligibility requirements we may establish

3.1. Usage of the HyperRich Platform is provided at our absolute discretion. We reserve the right to refuse any usage of the Platform without reason or restrict your access at any time.

3.2. You must not post, upload or publish to the Platform any abusive, defamatory, dishonest, or obscene message or any messages intended to manipulate a market or to spread false or misleading information.

4.1. By using our Platform, you acknowledge that:

• We are not your broker, intermediary, agent, or advisor and have no fiduciary relationship or obligation to you
• You are responsible for determining whether any investment, investment strategy or related transaction is appropriate for you
• We do not recommend that any Digital Asset should be bought, earned, sold, or held by you

5.1. You agree to pay all applicable fees in connection with your use of the Platform as requested during your use.

5.2. You authorize us to deduct all applicable fees, commissions, interest, charges and other sums that you owe from the Wallet that you connect to the Platform.

5.3. We may adjust our fees from time to time in accordance with these Terms.

6.1. You are responsible for maintaining adequate security and control of all information used to access the Platform, including:

• Never sharing your passwords or authentication codes
• Protecting your hardware and data from viruses and malicious software
• Monitoring your Activity History to ensure any unauthorized activity is identified

7.1. All HyperRich IP shall remain vested in HyperRich or a HyperRich Affiliate.

7.2. We grant to you a non-exclusive license to use the HyperRich IP solely as necessary to allow you to access and use the Platform for non-commercial personal use, in accordance with these Terms.

8.1. We may at any time modify or discontinue, temporarily or permanently, any portion or feature of the Platform with immediate effect and for any reason including, but not limited to:

• You are not, or are no longer, eligible to use the Platform
• We suspect unauthorized or fraudulent use
• We are required to do so by Applicable Law

9.1. You agree to indemnify and hold us harmless from any claims, losses, or damages arising from:

• Your use of the Platform
• Your breach of these Terms
• Your violation of any applicable laws
• Your violation of any third-party rights

9.2. We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.

10.1. You acknowledge that blockchain transactions are:

• Irreversible and cannot be canceled once initiated
• Subject to network delays and other technical limitations
• Publicly visible on the blockchain

10.2. We are not responsible for any losses due to blockchain network issues, including failed transactions, high gas fees, or network congestion.

11.1. You acknowledge and accept the following risks:

• Digital Assets are highly volatile and speculative investments
• You may lose your entire investment
• Market liquidity may be limited at times
• Technical vulnerabilities may exist in smart contracts
• Regulatory changes may impact Digital Asset trading

12.1. Any dispute arising from these Terms shall be resolved through:

• Initial good faith negotiations between the parties
• Mandatory binding arbitration if negotiations fail
• Arbitration shall be conducted in English

12.2. You waive any right to participate in class action lawsuits or class-wide arbitration.

13.1. These Terms shall be governed by and construed in accordance with the laws of England, without regard to its conflict of law principles.

13.2. Your use of the Platform may also be subject to other local, state, national, or international laws.

14.1. We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Platform.

14.2. Your continued use of the Platform after any changes constitutes acceptance of the modified Terms.
